For buyers and investors

Know what you're buying before you sign.

An independent technical review of a software business, written for the people making the deal decision. We tell you what we found, whether we'd proceed, and what should be fixed, priced or protected in the deal terms.

What we assess

We work through a structured questionnaire, so nothing important is skipped and every finding can be traced to what we were shown.

Organisation and staff

Who knows what, how concentrated that knowledge is, and what happens if key people leave.

Architecture and systems

What the product is built on, how the pieces fit together, and where it will strain as it grows.

Code and repositories

Code quality, review practice, delivery process and who actually holds access.

Hosting and backups

Where it runs, who controls it, and whether backups and recovery are real or assumed.

Support and SLAs

What has been promised to customers and whether the team can deliver it.

Security and privacy

Access controls, secrets handling, patching and unsupported software, and data protection practice.

Technical debt

What is out of date or fragile, and what it will cost to bring up to standard.

Use of AI

How AI tools are used in the product and in delivery, and what that means for risk and IP.

Licences and IP

Whether ownership is documented and assigned, and what third-party and open-source terms apply.

What you get

One written report. The first page is for the decision-makers, the rest is for whoever has to act on it.

A clear recommendation

An executive summary that says plainly whether to proceed, walk away, or renegotiate, with the three or four issues that drive that view.

Conditions for signing

The specific things that should be true, evidenced or contractually protected before you commit.

A phased action plan

Handover and transition from closing to day 30, stabilisation through day 100, longer-term recommendations, and the path to scale.

Findings and method

Detailed findings for each area, the sources we reviewed, the quality of the information we were given, and the limits of what we could conclude.

How it works

  1. Agree the scope. What the transaction is, and which questions matter most to your decision.
  2. Information request. We send a structured questionnaire and a document request to the company.
  3. Review. We examine what is provided, and note both its quality and what is missing.
  4. Report. You receive a written report with a recommendation, conditions and a plan.

Confidential by default. This work is private to our clients, so we don't name them here. Scope and timing depend on the size of the business and how much information is available, so get in touch and we'll tell you what is realistic.
